Renchly provides scheduled maintenance, cleaning, and related commercial facility services as agreed per the client's service plan. Services are performed during scheduled visits at the client's premises in accordance with the agreed visit frequency and scope of work outlined in the client's plan.
Each service plan includes an allotted number of service hours per calendar month. Unused hours do not roll over and expire at the end of each calendar month. Service hours are tracked via Renchly's time-logging system and are visible to the client in real time through the client portal. The monthly allotment resets at the start of each new billing period.
If service hours in a given month exceed the plan's allotted hours, the excess time is billed at the agreed overage rate per hour. Overage charges are calculated automatically based on logged time and invoiced on the next business day following the day the overage occurs. By accepting these terms, client acknowledges and authorizes this billing process. The applicable overage rate is specified in the client's service plan.
Service plans are billed monthly via automatic charge to the payment method on file, processed through Stripe. By enrolling, client authorizes Renchly to initiate recurring monthly charges. Invoices are emailed to the address on file at the time of each billing cycle. Past-due balances may result in suspension of services without further notice until the balance is resolved.
Renchly reserves the right to update service plan terms, including service hours, pricing, and overage rates, with 14 days' written notice delivered via email to the address on file. Continued use of services after the effective date of any updated terms constitutes acceptance of those changes.
Either party may cancel the service agreement with 30 days' written notice delivered via email to support@renchly.com. Client remains responsible for all charges incurred during the notice period. No refunds are issued for partially used months. Renchly reserves the right to terminate service immediately in the event of material breach of these terms.
Client is responsible for providing safe and lawful access to all service locations on the scheduled visit dates. Renchly is not liable for pre-existing damage, defects, or conditions discovered at the premises during or following a service visit. Client is responsible for securing the premises and any valuables prior to each scheduled visit.
To the fullest extent permitted by applicable law, Renchly's total liability for any claim arising out of or related to these terms or the services provided is limited to the total fees paid by the client in the three calendar months immediately preceding the claim. Renchly is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, regardless of the theory of liability. This limitation applies to and protects both the company and its individual operators, employees, and agents.
Client agrees to indemnify, defend, and hold harmless Renchly and its employees, agents, contractors, and owners from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the condition of client's premises; (b) client's misuse of services; (c) client's breach of these terms; or (d) any violation of applicable law by client.
These terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms or the services shall be resolved exclusively in the state or federal courts located in Dane County, Wisconsin, and both parties consent to personal jurisdiction in those courts.
Renchly may update these terms at any time. The current version is always available at renchly.com/terms. Continued use of Renchly's services following any update constitutes acceptance of the revised terms. We encourage clients to review this page periodically.
